Overview

These Service Consumption Terms are effective as of November 4, 2024 (the "Effective Date") and apply to all customers on Stacksync’s consumption-based pricing model.

Stacksync provides an Integration Cloud to its customers (each a “Customer,” “you,” or “your”) that connects applications, databases, APIs, and trading partners through automated cloud data pipelines (“Connectors,” “Apps”); supports unidirectional and bidirectional data synchronization; automates processes through workflows; deploys AI agents; exchanges and processes EDI documents; and provides managed queues, API proxy services, MCP endpoints, and developer tooling (collectively, the “Stacksync Service”). The Stacksync Service is available through multiple plans (“Plans”) hosted across various geographical regions (“Regions”) by third-party cloud providers (“Cloud Providers”), as described in your agreement with Stacksync (“Agreement”). Event-based actions (“Triggers”) may be initiated based on data activity within Connectors or other events processed by the Stacksync Service.

All prices are in US dollars (USD).

Definitions

• Workspace: The customer’s collaborative space attached to a subscription. Each workspace has exactly one active subscription. A Workspace contains Connectors and Destinations grouped into Syncs.

• Stacksync products:

  • Sync: Two or more apps connected together with data in sync. A Sync may be active, paused or deleted. Syncs are organized within workspaces.

  • Workflow: An automated sequence of predefined actions executed in response to a trigger.

  • AI Agent (Genie): An AI-powered agent that dynamically reasons and takes actions to accomplish a defined goal.

  • Queue: A managed service for asynchronously storing and processing messages or events.

  • API Proxy Service: A managed endpoint that securely forwards API requests to an underlying service.

  • Connection: An authenticated link between Stacksync and an external application, database, API, or service.

  • Variable: A reusable non-sensitive configuration value used by Stacksync resources.

  • Secret: A securely stored sensitive value, such as an API key, password, or token.

  • EDI Platform: The Stacksync service for exchanging, transforming, and processing EDI documents with trading partners.

  • Stacksync Developer Studio: The Stacksync environment for building, testing, and managing custom integrations and platform resources.

  • MCP: Model Context Protocol, a standard interface enabling AI agents to discover and interact with external tools and data sources.

  • Data Explorer: An interface for inspecting and querying data accessible through Stacksync.

  • Log Explorer: An interface for searching, filtering, and inspecting logs generated by Stacksync resources and executions.

• EDI Trading Partner: An external organization configured to exchange EDI documents with a Customer through Stacksync.

• Account: The Customer’s account on Stacksync. An Account may own or have access to multiple workspaces. An Account contains personal data about the customer.

• Arrears: For Capacity Purchases (defined below) only, this means any additional usage after the initial purchase has been used, but before the end of the original term. The Arrears period ensures you are able to continue using the Stacksync Services, even if the original Contracted Spend has already been consumed. You will be alerted by Stacksync when you are in Arrears.

• Subscription: A paid plan attached to a workspace.

• Billing Period: A calendar month running from the first to the last day of the month.

• Capacity Purchase: A subscription-based plan which requires an annual upfront purchase of Contracted Spend in bulk.

• Contracted Spend: The total dollar amount purchased as listed in the Order Form. Contracted Spend is shown on an annual basis.

• Destination: A destination is a data warehouse, database, data lake, or data lake house where the data is delivered.

• Stacksync Credits (SC): The standard credit used to meter and bill platform usage across products. Each product's billing unit (such as Records in sync or Executions) converts into SC.

• Stacksync AI Credits (AIC): A dedicated credit used to bill any AI-related consumption, enrichment, or the pass-through of external/third-party service charges. AIC are priced at 1 USD = 100 AIC ($0.01 per AIC).

• Incremental Spend: The price charged for the next thousand SC (or portion of the next thousand SC) consumed after surpassing the SC Threshold for the month in question.

• Initial Sync: The first time that a connector completes a historical sync.

• Monthly Purchase: A plan which is not subscription-based, whereby a Customer is billed monthly in-arrears for their usage during the prior Billing Period. Monthly plans are available to purchase at the (i) stacksync.com user interface or through the (ii) AWS, (iii) GCP, or (iv) Azure marketplaces.

• Records in sync: The number of distinct Primary Keys synced via Stacksync, calculated on a per-Sync basis. We only count a row once per Billing Period, even if it syncs multiple times.

• SC Threshold: The minimum SC usage requirement to receive the consumption rates on the Service Consumption Table below.

• Execution: The billing unit for Stacksync's execution-based products (Workflows, API Proxy Services, Queues, AI Agent runs, and similar). Each execution is a distinct, billable event that converts into Stacksync Credits, whether it completes successfully or ends in error.

• Monthly Spend: The dollar amount consumed each Billing Period from your Contracted Spend based on your actual monthly usage.

• Total Monthly Spend: Total Monthly Spend is the sum of Monthly Spend on Connectors and any other applicable uses of the Stacksync platform and Services.

• Order Form: The form used to purchase Contracted Spend from Stacksync. For Capacity Purchase customers, this is an order form document. For Monthly customers, this may be an order form document or may be the terms attached to a Monthly Purchase through one of the marketplaces identified above.

• Plan: The bundle of features included as a part of your Stacksync Service and outlined here. Plans are subscription-based.

• Primary Key: A unique identifier that specifies a distinct row within a table. In bidirectional sync mode, the primary keys of the rows in the synced apps are mapped together. In this context, the Primary Key corresponds to a unique mapping. For instance, a corresponding row in synced apps within the same Sync results in only one Primary Key.

Consumption and Stacksync Credits

Stacksync offers a range of products (Syncs, Workflows, API Proxy Services, Queues, AI Agents, and more). Each product can compute its consumption in a different, relevant way. To provide a single, consistent way to measure and bill usage across every product, all consumption is normalized into two credit currencies:

• Stacksync Credits (SC): the standard credit used for platform usage across products. Every product meters usage with its own billing unit — for example Records in sync for Syncs, or Executions for Workflows, API Proxy Services, Queues, and AI Agent runs — and each of those units converts into SC. This lets usage from all products accumulate under one balance.

• Stacksync AI Credits (AIC): a dedicated credit used for any AI-related consumption — model inference, data enrichment, and the pass-through (translation) of external/third-party service charges (for example AI provider or paid API costs). 1 USD = 100 AIC, i.e. each AIC costs $0.01.

Both SC and AIC consumed during a Billing Period are converted to their dollar value and added to your usage costs. Together with your Plan base price, they make up your Total Monthly Spend (see Service consumption and spend calculation below). For Capacity Purchase plans, this consumption is drawn from your Contracted Spend.

Compute consumption by product

What qualifies as one billable count differs per product, so the precise rules are below.

Syncs

Records in sync is the billing unit for Syncs: the number of distinct Primary Keys processed per Workspace per Billing Period. If a Primary Key is synced multiple times, it still counts as one Record in sync (and therefore one SC). Up to 50% of the Records in sync for an Initial Sync is excluded for each new Sync. In cases where network troubleshooting is needed, Customer cooperation may be required to allow data flow to Stacksync.

Because a Sync can process the same record in more than one way, the following events each consume SC:

1. Record changes: each created, updated, or deleted record within a Billing Period counts as one Record in sync. Even if the same record is updated multiple times within the period, it only counts once.

2. Triggers: each successful trigger counts as an additional Record in sync. For instance, if a record is updated five times during the billing period, and two of those updates activate triggers, one Record in sync is counted for the five record updates and two Records in sync are counted for the triggered actions — a total of three Records in sync (3 SC) for that scenario.

3. Full crawling requirements: some systems, like Hubspot, require full crawling to detect changes. All synced records are counted at least once as Records in sync within a billing period if they exist. Even if full data crawling occurs multiple times during the period, each record only counts once; and if those same records are also updated during the period, they are not counted again, since they were already counted once within that period.

Plans include a defined allowance of “Active Syncs.” An Active Sync is any unique Sync that is enabled at least once during a Billing Period. A Sync that remains configured but is not turned on at any time during the Billing Period does not count as an Active Sync during that billing period.

Workflows

Every workflow execution counts as one Execution (1 SC), whether it completes successfully or ends in error.

Queues

Each processed queue event counts as one Execution (1 SC), whether it completes successfully or ends in error.

Price of an additional resource above plan allowance: $10/queue/month

AI Agents (Stacksync Genies)

Each AI Agent (Genie) run counts as one Execution (1 SC), whether it completes successfully or ends in error. Note that a Genie run consumes SC for the run itself, while any AI reasoning or model inference performed during the run is metered separately in AIC (see below).

MCP

Every MCP call counts as one Execution (1 SC).

Stacksync Rich MCP Gateway can include AI reasoning within MCP calls to increase the response accuracy and speed of the downstream AI reasoning. Rich MCP Gateway calls can consume AIC credits metered separately.

Managed Hyperscalable Postgres Databases

Customers on any plan can provision Managed Postgres Databases. Databases can be upgraded or downgraded at anytime.

Hyperscale Managed PostgreSQL comes with dedicated CPU, memory, and local block storage. CPU, memory and block storage are collocated for maximal performance.

Starter Managed PostgreSQL comes with shared CPUs. Each VM can utilize host cpu capacity up to 50% of the allocated vCPU and additionally burst up to 100% of the allocated vCPU at micro-intervals. Memory and local block storage are dedicated to the database.

API Proxy Services

• Standard calls: each call is an Execution, included up to the plan’s quota, with excess usage billed at the SC rate.

• AI Insights calls: AI-driven calls (marked with “ai” in the URL) are included up to the plan’s quota and, once the quota is exceeded, their AI consumption is metered in AIC rather than SC.

AI consumption

Stacksync AI Credits (AIC) cover any AI-related consumption on the platform, regardless of which product triggers it: model inference and reasoning, data enrichment, and the pass-through of external/third-party service charges (for example, translating an AI provider's or paid API's usage into your Stacksync bill).

AIC are priced at a flat 1 USD = 100 AIC ($0.01 per AIC) and are billed in addition to your SC-based usage.

Plans and capacity purchase plans

Each Plan includes defined usage allowances for Stacksync products and services. Usage exceeding these allowances is billed on a pay-as-you-go basis at the applicable consumption rates.

Customers may upgrade their Plan at any time during the committed term to increase included allowances by contacting their Stacksync account executive. A Plan may only be downgraded at the end of the committed contractual term.

Capacity Purchase plans

Customers may also purchase additional prepaid capacity to cover variable consumption exceeding their Plan allowances (“Capacity Purchase”). Capacity Purchases are non-refundable, non-transferable, and expire at the end of the applicable contractual period for which the credits should apply to. Any unused capacity does not roll over to a subsequent period or contract term.

For customers with a Capacity Purchase Plan, usage rates are based on the Service Consumption Table. Multiple Workspaces under one Capacity Purchase Plan can share Contracted Spend but cannot combine SC consumption for volume discounts across Workspaces.

Service consumption and spend calculation example

Monthly Spend depends on your Stacksync Credits (SC) and Stacksync AI Credits (AIC) consumption and the selected Plan. All product usage — Records in sync, Executions, and so on — accumulates as SC. Each Plan has a base price covering a custom amount of included SC, with incremental costs for SC consumed beyond the included limit. AIC are billed separately at a flat rate of $0.01 each.

Example of cost calculation

Suppose you’re on a yearly Starter Plan and have consumed 200,000 SC (across all products — Records in sync, Executions, etc.) in one month. Here’s how costs are calculated:

• First 50,000 SC, included in your plan.

• Next 100,000 SC, priced at $8 per 1,000: 100 * $8 = $800.

• Additional 50,000 SC, priced at $2 per 1,000: 50 * $2 = $100.

• Total SC cost: $0 + $800 + $100 = $900.

• AIC cost: any Stacksync AI Credits consumed are added at $0.01 each (none in this example, $0).

• Total Monthly Spend: Base Price ($1000) + SC Cost ($900) + AIC Cost ($0) = $1900.

Custom development services

For services outside of standard support, such as custom development, the following options are available:

1. Managed services plan (add-on): $1,200/month for 20 hours of work per month of mixed Development and Architect hours as needed.

2. Custom per-hour rates

   • Junior Engineers / Junior Solutions Architects: $250 USD per hour

   • Senior Engineers / Senior Solutions Architects: $400 USD per hour

Support Plans

Support Priorities

Stacksync provides highly responsive support channels. The following priority levels define how issues are classified and handled:

P-0 — Critical / Production Down

• Full production outage or data corruption

• Core functionality unavailable

• Immediate business impact

• Requires instant escalation to on-call engineering

P-1 — High / Severe Degradation

• Major functionality impaired, though partially operational

• Significant performance degradation

• No viable workaround

• Requires rapid attention

P-2 — Medium / Functional Issue

• Non-critical feature malfunction

• Business impact present but mitigations available

• Addressed during business hours

P-3 — Low / Minor Bug or Usability Issue

• Cosmetic issues or low-impact defects

• No operational disruption

• Resolved in standard maintenance cycles

P-4 — Inquiry / Feature Request

• Clarifications, documentation questions, or enhancement requests

• No operational impact

Support Channels

• P-4 to P-0 issues should be raised via the standard support channels included in your plan (Email, Slack, Microsoft Teams or Phone).

• P-0 incidents may be escalated through the dedicated 24/7 hotline available under Workspace Settings → Support Methods (if included in your plan).

Triggering a P-0 escalation immediately notifies an on-call engineer. Your team must be ready to respond in real time (chat and/or call) to ensure rapid resolution.

Note: Submitting non-urgent or lower-severity issues through the P-0 hotline may incur fees of up to $1,000 per false alert due immediately.

Miscellanous

What happens when Contracted Spend is depleted?

Capacity Purchase Customers will enter an Arrears period if Contracted Spend is depleted, during which they can continue using Stacksync Services at the "Monthly Pay As You Go" rates. Stacksync will prompt customers to purchase additional usage prior or after the Arrears period. If no additional usage is purchased and consumption is over plan quota, Stacksync may suspend or terminate the Workspace and its associated services.

Expiration of Contracted Spend

Contracted Spend must be used within the subscription term, with no rollover to the next term. Contact your account representative for renewals or new orders.

Multiple Workspaces

Each Workspace’s SC usage is calculated independently. Combining SC across Workspaces for discounts is not allowed.

Changes to the Stacksync Service Consumption Table

Stacksync may periodically update this Service Consumption Table. When updates are made, the “effective date” at the top of the document will be revised.

• For Capacity Purchase plans, the updated table will apply upon renewal or when entering a new Order Form after the changes go into effect. This holds true if no other agreement between the parties supersedes this Service Consumption Table.

• For Monthly Purchases/Plans, the updates will apply in the first Billing Period following the new effective date.

If a material change is made, Stacksync will make reasonable efforts to notify you through the Stacksync dashboard or via email prior to the update taking effect.
