## Definitions

"Agreement" means this Stacksync EOS CLI License 1.0.

"Authorized Stacksync Services" means services operated by Stacksync, Inc. or its affiliates, and private or enterprise installations expressly authorized in writing by Stacksync, Inc., that You are authorized to access under the applicable service terms. This includes authorized trial, guest, preview, development, and staging environments. A third-party service does not become an Authorized Stacksync Service merely because it implements a compatible API or accepts requests from the Software.

"Authorized Users" means Your employees, contractors, and agents who access the Software solely on Your behalf for a Permitted Purpose, are bound by obligations at least as protective as this Agreement, and have the required authorization to access the relevant Stacksync account or workspace.

"Competing Offering" means a product or service that uses, incorporates, adapts, or derives functionality from the Software to replace, replicate, or offer a commercial or functional substitute for the Software or an offering that Stacksync or its affiliates provides using the Software. This includes such offerings for application deployment, hosting, infrastructure management, managed databases, AI inference, file storage, data integration, or workflow orchestration, whether provided for payment or free of charge. Your independently developed applications do not become Competing Offerings merely because they use these capabilities through Authorized Stacksync Services as permitted by this Agreement.

"Contribution" means code, documentation, or other material intentionally submitted by You to Licensor for inclusion in the Software. Your applications, customer data, configuration, and ordinary service requests are not Contributions merely because they are deployed, transmitted, or managed using the Software.

"Licensed Work" or "Software" means the Stacksync Enterprise OS Command-Line Interface (EOS CLI) provided under this Agreement, including its source code, executables, installers, update components, bundled MCP interface, accompanying documentation, and any portion of those materials, in any form. It does not include Your independently developed applications or Third-Party Software governed by separate license terms.

"Licensor" means Stacksync, Inc.

"Modified Version" means any modification, adaptation, translation, derivative work, or other work incorporating any portion of the Software.

"Permitted Purpose" means using the Software exclusively to access, configure, deploy to, administer, or otherwise interact with Authorized Stacksync Services, including local preparation, testing, evaluation, troubleshooting, and automation solely in support of that use.

"Protective Measures" means authentication, authorization, workspace isolation, access controls, usage limits, license checks, signature verification, or other technical measures implemented to protect the Software, Authorized Stacksync Services, or their users. This definition does not imply that any particular measure or telemetry feature is present in every version of the Software.

"Third-Party Software" means software included in or provided with the Software under separate open-source or other third-party license terms.

"You" means the individual or legal entity accepting this Agreement. If You act on behalf of an entity, You represent that You have authority to bind that entity.

## Acceptance

This Agreement states the terms on which Licensor makes the Software available. By downloading, installing, copying, accessing, or using the Software after being provided this Agreement or notice of it, You agree to its terms. If You do not agree, You must not download, install, copy, access, or use the Software and must delete copies in Your possession or control, except to the extent retention is required by applicable law.

***

## Grant of Rights

Subject to Your compliance with this Agreement and the applicable Stacksync service terms, Licensor grants You a limited, worldwide, non-exclusive, non-transferable, non-sublicensable license to:

1. Download, install, execute, and make reasonably necessary internal and backup copies of the Software solely for a Permitted Purpose.
2. Permit Authorized Users to exercise those rights on Your behalf.
3. Where Licensor makes source code available to You, inspect that source code and compile an unmodified copy solely for a Permitted Purpose. Source availability does not grant additional rights to modify, redistribute, sublicense, or reuse the Software.
4. Configure the Software through its documented options and interfaces, and write independent scripts, integrations, or automation that invoke those interfaces solely for a Permitted Purpose, without incorporating or distributing Software code.

These rights apply to both production and non-production use. There is no separate grant for unrestricted educational, evaluation, research, personal, or noncommercial use outside a Permitted Purpose. No right to publish the source code or make the Software available under an open-source license is granted. This Agreement has no automatic conversion to an open-source or more permissive license.

No rights are granted by implication, estoppel, or otherwise. All rights not expressly granted are reserved by Licensor and its licensors.

***

## Permitted Uses

For clarity, You may use the Software for a Permitted Purpose to:

* Build, deploy, operate, and commercialize Your own applications using Authorized Stacksync Services, including applications offered to Your customers.
* Manage Your authorized Stacksync workspaces, deployments, databases, inference resources, storage, and access settings.
* Run local dry runs, prepare deployment archives, and test integrations intended for Authorized Stacksync Services.
* Use the Software in Your internal CI/CD pipelines, development tools, or AI coding agents, including through its documented MCP interface.
* Provide consulting, implementation, or administration services for clients who are themselves authorized to use the relevant Stacksync services, provided You have their authorization and do not redistribute the Software externally or provide a Competing Offering.

Using the Software does not transfer ownership of Your independently developed applications or customer data to Licensor. Selling Your applications or professional services as described above is not a sale or sublicense of the Software.

***

## Restrictions

Except with Licensor's prior written permission, and subject to the Third-Party Software and Mandatory Rights sections below, You must not, and must not permit another person to:

1. **Use outside Stacksync.** Use the Software or a Modified Version with an unauthorized backend, independent hosting or infrastructure platform, substitute API, or other service outside the Authorized Stacksync Services. Local preparation and testing solely for a Permitted Purpose remain permitted.
2. **Create or enable competing offerings.** Use the Software, its source code, or functionality derived from it to develop, provide, operate, or assist a Competing Offering, including by adapting the Software to a competing service or extracting components for a competing product.
3. **Redistribute or sublicense.** Publish, distribute, sublicense, sell, rent, lease, lend, transfer, or otherwise make the Software available to third parties, including through public repositories, package registries, container images, software bundles, mirrors, or download services. Copies provided internally to Authorized Users solely on Your behalf are permitted under the Grant of Rights.
4. **Resell or white-label.** Rebrand, white-label, repackage, or offer the Software or access to its functionality as a standalone product, managed service, reseller offering, or component of another platform. The expressly permitted customer applications and professional services above remain permitted.
5. **Modify or reuse code.** Modify, adapt, translate, create derivative works of, or incorporate any Software code into another work. Documented configuration, compilation of unmodified source, and independent automation expressly permitted above are not prohibited modifications. Modifications or Contributions require separate written authorization from Licensor.
6. **Reverse engineer.** Reverse engineer, decompile, disassemble, or otherwise attempt to derive non-public source code, algorithms, or implementation details from the Software, except where this restriction is prohibited by applicable law.
7. **Circumvent protections.** Bypass, defeat, remove, disable, or alter Protective Measures; access resources without authorization; evade account, workspace, subscription, or usage restrictions; or use the Software to obtain unauthorized access to Stacksync systems or other users' resources. Using an option that Licensor documents as supported, including an available update-control option, is not circumvention merely because it changes default behavior.
8. **Remove notices or misrepresent affiliation.** Remove or obscure license, copyright, trademark, or attribution notices; claim ownership of the Software; or imply endorsement, certification, partnership, or affiliation with Stacksync without authorization.

A trial, guest account, free service tier, or ability to change the API endpoint does not expand the license granted by this Agreement. Restrictions apply to use for payment and use free of charge, except where this Agreement expressly states otherwise.

***

## Conditions and Authorized Users

You are responsible for compliance by Your Authorized Users and for their acts and omissions in connection with the Software as if they were Your own. You must protect credentials and use only accounts, workspaces, and resources You and the relevant Authorized Users are authorized to access. You must not share credentials in violation of the applicable Stacksync service terms.

Every permitted copy must retain this Agreement and all applicable copyright, trademark, and third-party notices. Any Modified Version separately authorized in writing must retain required notices, identify the modifications, preserve applicable Protective Measures, and remain subject to this Agreement unless Licensor expressly agrees otherwise in writing.

If Your intended use is outside the rights granted here, You must obtain a separate written license from Licensor before that use or refrain from it. Payment for a Stacksync subscription does not by itself grant redistribution, source-code reuse, or competing-use rights.

***

## Service Terms, Data, and Updates

Access to Authorized Stacksync Services remains subject to the applicable [Stacksync Terms of Service and Conditions](/security-and-other-resources/legal/terms-of-service-and-conditions-tc), [Acceptable Use Policy](/security-and-other-resources/legal/acceptable-use-policy-aup), applicable order forms, and any separately executed agreements. Personal information is handled as described in the [Stacksync Privacy Notice](/security-and-other-resources/legal/privacy-notice) and any applicable data processing agreement.

This Agreement does not require telemetry that the Software does not implement or override data-handling commitments in a separately executed agreement. You must not interfere with required security or service-enforcement communications except through documented controls or as authorized by Licensor.

Licensor may provide updates under this Agreement or under terms supplied with the relevant update. Changes to this Agreement do not retroactively expand restrictions on a copy already licensed under an earlier version. This Agreement does not obligate Licensor to provide support, updates, continued service availability, or compatibility with any particular operating system, platform, or third-party product, except as separately agreed in writing.

***

## Intellectual Property and Patent Rights

The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in the Software and all associated intellectual property rights. This Agreement grants no rights in Stacksync trademarks, logos, trade names, or branding, except to preserve required notices and accurately identify the Software's origin without implying endorsement.

To the extent necessary to exercise the rights expressly granted under this Agreement, Licensor grants a non-exclusive, royalty-free license under patent claims it controls that are necessarily infringed by the unmodified Software. This patent license is limited to Permitted Purposes and terminates when Your rights under this Agreement terminate. It grants no separate right to sell, redistribute, or use the Software outside the express grant above.

If You institute patent litigation alleging that the Software infringes a patent, Your patent license under this Agreement terminates to the extent permitted by applicable law.

***

## Contributions

Do not submit Contributions unless Licensor has authorized the submission in writing. Authorization to submit a Contribution does not authorize publication or redistribution of the Software or a Modified Version.

Unless a separate written contribution agreement with Licensor provides otherwise, by intentionally submitting an authorized Contribution for inclusion in the Software, You assign to Stacksync, Inc. all right, title, and interest You hold in that Contribution, including intellectual property rights. You represent that You have the authority to make that assignment and that the Contribution does not violate third-party rights or obligations. If You cannot make the assignment, You must obtain a separate written agreement before submitting the Contribution.

To the extent any such rights cannot lawfully be assigned, You grant Licensor a perpetual, worldwide, irrevocable, royalty-free license, with rights to sublicense and transfer, to use, reproduce, modify, distribute, and commercialize the Contribution for any purpose, to the fullest extent permitted by applicable law. Nothing in this section transfers rights in Your independently developed applications, customer data, or other materials that You have not intentionally submitted as Contributions.

***

## Third-Party Software and Mandatory Rights

Third-Party Software is governed by its own applicable license terms, including any notices provided with the Software. This Agreement does not replace those terms, restrict rights granted under them, or claim ownership of Third-Party Software. Licensor's restrictions on its own Software do not extinguish Your rights to independently obtained third-party components under their respective licenses.

Nothing in this Agreement excludes, restricts, or waives rights or remedies that cannot lawfully be excluded, restricted, or waived, including any applicable statutory rights concerning interoperability, reverse engineering, or other permitted activities. Such rights apply only to the extent required by applicable law and do not otherwise expand the express license grant.

***

## Disclaimer of Warranty

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

***

## Limitation of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00). THESE LIMITATIONS DO NOT EXCLUDE LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED AND DO NOT REPLACE LIABILITY TERMS EXPRESSLY AGREED IN A SEPARATELY EXECUTED AGREEMENT THAT GOVERNS THE SAME CLAIM.

***

## Termination

Your rights under this Agreement terminate automatically if You materially breach this Agreement. For a curable, unintentional first breach, Licensor may reinstate Your rights after You cure the breach within fifteen (15) days of becoming aware of it and remedy its consequences to the extent reasonably possible. Intentional, repeated, or incurable breaches do not carry a right to reinstatement. Licensor may also terminate the license by notice where Your continued use is no longer authorized under the applicable Stacksync service agreement.

Upon termination, You must stop using the Software, cause Authorized Users to stop using it, and delete all copies in Your possession or control, except copies required to be retained by law, which must remain inaccessible for operational use and subject to this Agreement. Termination does not transfer ownership of Your applications or authorize deletion of Your customer data; treatment of service data is governed by the applicable service agreements.

Provisions concerning restrictions, ownership, Contributions, third-party rights, disclaimers, liability, termination obligations, and dispute resolution survive termination to the extent necessary to give them effect. Termination does not limit remedies otherwise available under applicable law.

***

## General

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Subject to mandatory applicable law, legal actions arising out of or relating to this Agreement must be brought in the state or federal courts located in Wilmington, Delaware, and the parties consent to their jurisdiction and venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You must comply with applicable export control, sanctions, and import laws in connection with the Software.

If a provision is unenforceable, it will be modified only to the extent necessary to make it enforceable, and the remaining provisions will remain in effect. A failure or delay to enforce a provision is not a waiver. Licensor may seek injunctive or other equitable relief for unauthorized use or disclosure of its intellectual property, subject to applicable law and court requirements; no remedy is guaranteed by this Agreement.

This Agreement governs rights to the Software. A separately executed written agreement with Stacksync, Inc. controls over conflicting provisions of this Agreement only to the extent it expressly grants different rights or governs the same subject matter. The Stacksync Connector Development Kit license and licenses for other Stacksync products do not grant rights to the EOS CLI unless Licensor expressly states otherwise in writing.
